Agreement

This Creator Program Agreement (“Agreement”) is between North East Streetwear (“NESW,” “we,” “us,” or “our”) and you (“Creator,” “you,” or “your”). It governs your participation in the NESW Creator Program (the “Program”), use of the NESW Creator Portal (the “Portal”), and any compensation you may receive from us based on attributed sales.

By checking the acceptance box on the ambassador application form, signing in to the Portal, or submitting content through the Portal, you agree to these terms. If you don’t agree, don’t apply, sign in, or submit content.

1. The Program

The Program is a creator partnership where you can:

  • Submit videos and other content (each, a “Submission”) for NESW to review.
  • Have approved Submissions placed into NESW’s paid advertising rotation on Meta (Instagram, Facebook), TikTok, TikTok Shop, and other channels NESW selects.
  • Earn commission on sales attributed to your Submissions, calculated as described in Section 5.
  • Request product samples for content creation through the Portal, subject to Section 7.
  • Communicate directly with NESW through the Portal’s messaging features.

You participate in the Program as an independent contractor. This Agreement is not an employment contract, partnership, joint venture, or franchise arrangement.

2. Eligibility

To participate, you must:

  • Be at least 18 years of age (or, where local law allows, at least 16 with a parent or legal guardian’s written consent provided to NESW on request).
  • Have legal capacity to enter binding contracts in your jurisdiction.
  • Be the rightful owner of, or have all necessary licenses to grant, the rights to any content you submit (including any music, third-party imagery, or talent likeness).
  • Have an active social media or content distribution presence relevant to NESW’s audience.
  • Not be on any U.S. government denied parties or sanctions list, and not be located in a country subject to U.S. embargo.

NESW reserves the right to deny or revoke participation at any time, in its sole discretion.

3. The Application & Approval

Applying to the Program does not guarantee acceptance. NESW reviews each application and may approve, reject, or request additional information. Acceptance is granted at one of two tiers — “Approved (Basic)” or “Approved (Verified)” — which determine which features and Sample privileges you have access to. NESW may change your tier or revoke your status at any time.

4. Content Submission & License Grant

4.1 What you submit

A “Submission” is any video, image, copy, text, audio, or other content you upload through the Portal, send via Portal messaging, or otherwise deliver to NESW for use in the Program.

4.2 What rights you give NESW

By submitting content to NESW, you grant NESW a worldwide, royalty-free, fully paid-up, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, distribute, modify, edit, caption, adapt, combine, publicly perform, publicly display, and create derivative works of the Submission, in any media now known or later developed, for any purpose related to NESW’s business, including:

  • Paid advertising on Meta, TikTok, TikTok Shop, Google, YouTube, Snapchat, Pinterest, and any other platform.
  • Organic posting on any of NESW’s owned or operated social channels, websites, or email.
  • Inclusion in catalogs, lookbooks, retail displays, press materials, and partner channels.
  • Cropping, editing, captioning, voiceover, overlay, and combining with other content.
  • Use of your name, handle, username, voice, image, likeness, and biographical info as part of the Submission as you have presented it.

This license survives termination of this Agreement and continues for any Submission previously approved by NESW.

4.3 What rights you keep

You retain ownership of your Submission and may use it however you wish on your own channels. NESW’s license is non-exclusive.

4.4 What you promise (Representations & Warranties)

By submitting content, you represent and warrant that:

  • You own or have all rights, licenses, consents, and permissions necessary to grant the license in Section 4.2.
  • All persons appearing or audible in the Submission have given their consent to its use as described in Section 4.2.
  • All music, sound recordings, and underlying compositions in the Submission are either owned by you, licensed to you with rights sufficient to grant Section 4.2, or cleared for commercial advertising use under the originating platform’s library — and you understand platform-licensed music for organic use is not the same as music cleared for paid ads.
  • The Submission does not infringe any third party’s intellectual property, publicity, privacy, or contractual rights.
  • The Submission does not violate any applicable law or platform community standard.
  • You have not granted, and will not grant, any third party exclusive rights to the Submission that would conflict with Section 4.2.

4.5 Removal and revocation

NESW may decline, edit, remove, or stop using any Submission at any time, for any or no reason.

5. Attribution & Earnings Methodology

This section explains exactly how we determine what to pay you. This is the methodology you are agreeing to, and we will follow it consistently.

5.1 What counts as an attributed sale

A sale is “attributed” to your Submission if at least one of the following is true:

  • Meta Attribution: Meta’s advertising platform reports the sale as attributed to the specific ad NESW created from your Submission, using Meta’s then-current default attribution window (currently 7-day click / 1-day view), pulled from the Meta Ads API.
  • First-Party UTM Attribution: The Shopify order’s landing-site URL contains the unique UTM campaign parameter that NESW generated for your Submission (e.g., utm_campaign=ugc_yourhandle_42).
  • TikTok Shop Attribution: TikTok Shop reports the sale through its native creator commission system, where applicable.

When multiple signals attribute the same order, the order is counted once (deduplicated by Shopify order ID).

5.2 Why this methodology

Meta’s attribution is the industry standard but is partially blocked on iOS devices that opt out of cross-app tracking. First-party UTM tracking is iOS-immune because the UTM is preserved by your browser and Shopify on our own domain, completely independent of Meta or any third-party tracker. Together, the two signals form a more complete and verifiable picture of attributed revenue than either alone, with no model or estimation in between. We do not use probabilistic attribution models, post-purchase surveys, or any inference layer to inflate attribution. If the deterministic sources don’t show a sale, we don’t pay for it.

5.3 Tracking technologies in use

  • Unique UTM parameters stamped onto the destination URL of every paid ad created from your Submission.
  • Shopify’s built-in landing-site capture, which records the first URL of each customer’s visit on the order.
  • Meta’s Conversions API (CAPI) through Shopify’s Meta channel, which sends purchase events to Meta server-to-server so attribution survives browser tracking restrictions.
  • First-party cookies on the northeaststreetwear.com domain to preserve UTM context across the visit.

We do not install third-party tracking pixels solely for the Program’s attribution.

5.4 Reconciliation

Attribution data may update after the initial purchase as Meta and Shopify finalize their numbers. We close attribution for a given calendar month on the 7th of the following month. Sales that surface after that date are credited to the next payout cycle.

5.5 Commission rates

Unless we specifically agree otherwise with you in writing, the current rates are:

Approved (Basic) 8% on attributed sales (excl. tax, shipping, refunds)
Approved (Verified) 8% paid-ad attribution + additional incentives where offered (e.g., increased TikTok Shop rate up to 20% on volume tiers)

Rates are subject to change. NESW will give you 30 days advance email notice of any decrease in your rate.

5.6 What doesn’t count

  • Refunds, returns, chargebacks, and cancellations.
  • Sales tax, shipping, duties, and gift-card purchases.
  • Orders fulfilled in whole or in part by gift cards or store credit (cash portion counts; gift-card / credit portion does not).
  • Sample orders, comp orders, and orders with a $0 line subtotal.
  • Orders flagged as fraudulent or violating NESW’s terms.
  • Sales to creators in the Program, members of NESW’s team, or their immediate families.

6. Payment Terms

Schedule. Monthly, on or about the 15th, covering attributed sales from the previous calendar month.

Minimum threshold. $50.00 USD. Balances below roll forward.

Method. USD via ACH (U.S.) or international wire/Wise/PayPal where applicable. You must keep accurate payment info in the Portal.

Tax forms. Valid W-9 (U.S.) or W-8BEN/W-8BEN-E (non-U.S.) required before first payment. NESW issues Form 1099-NEC where required by law.

Taxes. You are responsible for all income, self-employment, sales, and other taxes on amounts you receive. Nothing NESW pays you is intended as employee wages.

Disputes. Email jude@nestreetwear.co within 60 days of a payment with the specific orders or campaigns in dispute. NESW will respond in writing within 30 days. Failure to dispute within 60 days waives your claim for that period.

7. Samples

Approved Creators may request samples through the Portal. NESW reviews each request and, if approved, fulfills it as a $0 Shopify order shipped to the address you provide.

Samples are provided so you can produce content under this Agreement — not for resale, gifting outside content production, or personal accumulation.

You’re responsible for providing an accurate shipping address and for any import duties, taxes, or customs fees on international shipments.

NESW may limit the number, type, or value of samples you can request in any period and may decline any request without explanation.

8. Brand & Content Standards

FTC disclosure. When you post compensated content, you must include clear and conspicuous disclosure (e.g., #ad, #sponsored, #NESWpartner, on-screen disclosure, or the platform’s built-in paid-partnership label) at the start of captions or on-screen on videos.

Platform rules. You must comply with the terms of service and community guidelines of every platform on which you post NESW-related content.

Prohibited content. Hate speech, harassment, slurs, sexually explicit material, content harmful to minors, false or misleading product claims, unauthorized endorsement claims, or use of NESW marks outside the context of your participation are all prohibited.

Right to remove. NESW may require takedown or modification of any post that violates this Agreement. Failure to comply within 48 hours is grounds for immediate termination and forfeiture of unpaid earnings tied to the violation.

9. Exclusivity & Conflicting Promotions

This Agreement is non-exclusive. You may promote other brands during the Program.

However, during any period in which NESW is running a paid advertisement created from one of your Submissions, you agree not to post promotional content for a direct competitor of NESW (other independent streetwear brands of comparable size and audience). NESW will notify you when one of your Submissions has been pushed to paid rotation so you know when this restriction applies.

10. Tracking, Cookies & Privacy

By participating in the Program and using the Portal, you acknowledge and agree that NESW will:

  • Capture UTM parameters and referrer information on Shopify orders for attribution purposes.
  • Maintain first-party cookies on northeaststreetwear.com containing UTM context.
  • Receive purchase event data from Shopify’s Meta Conversions API integration.
  • Receive aggregate ad-performance data from Meta Ads API and (where applicable) TikTok Ads / TikTok Shop APIs.
  • Store the Submissions, messages, sample-request details, and shipping addresses you provide in the Portal.
  • Log Portal sign-ins, IP addresses (for security only), and message read receipts.

We will not sell your personal data. We will use your data only for operating the Program, calculating attribution and earnings, communicating with you, and improving NESW’s business. 11. Confidentiality

During and after the Program, you must not disclose any of the following without NESW’s prior written consent: NESW’s non-public analytics or sales data, internal ad-account information, attribution figures specific to creators other than yourself, pricing or business strategy, unreleased product information shared in resource channels, internal communications, or the financial terms of this Agreement other than the publicly published commission rates. You may always disclose your own personal earnings and your own performance.

12. Independent Contractor

You are an independent contractor. Nothing in this Agreement creates an employer-employee, partnership, joint venture, agency, franchise, or fiduciary relationship. You have no authority to bind NESW.

13. Term & Termination

Term. Starts when you accept; continues until terminated.

By you. Email jude@nestreetwear.co; effective 30 days after your notice.

By NESW. For convenience with 30 days notice, or immediately for material breach.

Effect. Accrued earnings above the minimum threshold paid in the next regular cycle. The content license granted in Section 4.2 survives termination for previously approved Submissions. You must stop using NESW marks in active promotion. Confidentiality survives indefinitely.

14. Indemnification

By you: You will defend, indemnify, and hold harmless NESW, its officers, employees, contractors, and affiliates from any third-party claim, loss, or expense arising out of your breach of this Agreement, your violation of any law, any infringement claim concerning a Submission, your tax liabilities, or your acts outside the scope of this Agreement.

By NESW: NESW will defend, indemnify, and hold you harmless from any third-party claim that NESW’s use of a Submission outside the license you granted in Section 4.2 directly caused, except to the extent the claim arises from your breach of Section 4.4.

15. Disclaimer of Warranties

The Program and the Portal are provided “as is” and “as available” without warranties of any kind, express or implied. NESW makes no guarantee about the amount you will earn, the volume of sales any Submission will drive, the duration any Submission will remain in paid rotation, or the continued availability of any platform feature on which the Program relies.

16. Limitation of Liability

To the maximum extent permitted by law, NESW’s total aggregate liability under this Agreement is limited to the greater of (a) USD $1,000 or (b) total commissions paid to you in the 12 months preceding the claim.

Neither party will be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages — including lost profits, lost revenue, lost data, or loss of goodwill — even if advised of the possibility.

17. Governing Law & Disputes

This Agreement is governed by the laws of the State of New York, without regard to its conflict-of-laws principles.

Any dispute arising out of or relating to this Agreement that cannot be resolved by good-faith negotiation will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, in New York County, New York. You and NESW each waive the right to a trial by jury and to participate as a member of any class. This Section does not prevent either party from seeking injunctive relief for IP misuse or confidentiality breach in a court of competent jurisdiction.

18. Changes to this Agreement

NESW may update this Agreement. We will notify you of material changes by email at least 30 days before they take effect, except where law requires sooner. Continued participation indicates acceptance. NESW maintains a version history and records the version you accepted with timestamp and IP address.

19. Notices

NESW gives you notices at the email on your Portal account. You give NESW notices at jude@nestreetwear.co. Notice is effective when sent.

20. Miscellaneous

  • Entire Agreement. This Agreement is the entire agreement regarding the Program and supersedes any prior agreement on the same subject.
  • Severability. If any provision is held invalid, the rest remains in effect.
  • No Waiver. Failure to enforce a right is not a waiver.
  • Assignment. You may not assign without NESW’s written consent. NESW may assign to any successor of its business.
  • Survival. Sections 4, 5, 11, 14, 15, 16, 17, and any others by their nature, survive termination.
  • Force Majeure. Neither party is liable for failure caused by events outside its reasonable control.

Acknowledgement

By checking “I accept the NESW Creator Program Agreement” on the application form or by signing into the Portal on or after the effective date above, you confirm that you have read, understood, and agree to be bound by this Agreement.
